By accessing or using our website, scheduling a discovery call, trialing our software tools, or purchasing our B2B background automation systems, you agree to comply with and be bound by the following Terms & Conditions. If you do not agree to these terms, you must not access our site or use our services.

1. Scope of B2B Services

MADLABZ provides custom, background software automation services, AI-enabled frontdesk configurations, missed-call SMS textbacks, social media lead capture triggers, automated review request setups, and client database reactivation campaigns.

• Our services are offered strictly in a **Business-to-Business (B2B)** capacity. We do not provide consumer-facing retail services.
• All product features, outcomes, delivery timescales, and scope limits will be explicitly documented in a separate, written B2B Service Agreement signed by both parties.

2. User Accounts & Information Accuracy

When registering, booking consultations, or utilizing our services, you must provide accurate, current, and complete details regarding your registered business name, direct mobile, email, and billing contact person.

You are entirely responsible for maintaining the confidentiality of any access credentials, dashboard links, or CRM permissions granted during the setup of our automation integrations.

3. Fees, Payments, & Invoicing

MADLABZ provides custom systems on a subscription (SaaS) or fixed project fee basis:

• All fees, monthly retainers, and setup costs are non-refundable unless specified otherwise in your signed B2B Service Agreement.
• Invoices are generated and delivered electronically (including via secure SMS payment link widgets).
• We reserve the right to suspend active background API integrations, missed-call textback configurations, or CRM hosting instances in the event of unpaid balances exceeding our grace periods.

4. Client Data & Lead Compliance

When utilizing our automation workflows (e.g. executing automated missed-call textbacks, Facebook lead captures, database reactivation campaigns, or review requests to your customer lists):

• You warrant that all phone numbers, email addresses, and contact records imported into our systems were legally acquired and are fully compliant with UK data protection laws, PECR (Privacy and Electronic Communications Regulations), and the UK GDPR.
• You retain full ownership of all prospect and client data processed by our integrations. MADLABZ acts strictly as a **Data Processor** under your direction.
• You agree to indemnify and hold MADLABZ harmless from any legal actions, claims, or compliance issues arising from unauthorized direct SMS/email outreach executed through our platforms.

5. Intellectual Property Rights

All custom graphics, inline SVG visuals, CSS layouts, sticky headers, accordion algorithms, calculator formulas, and branding assets on this website are the intellectual property of MADLABZ.

The software, background automation scripts, custom code snippets, and proprietary workflows developed and licensed to you during our engagement are protected by copyright laws. You are granted a limited, non-exclusive, non-transferable license to utilize these integrations strictly for your business operations.

6. Disclaimer of Warranties & Limitation of Liability

Our software workflows and background systems are provided on an "as-is" and "as-available" basis:

• While our systems are designed to operate with sub-second speeds and ultra-high reliability, we do not warrant that API triggers, missed-call fallbacks, or external platform integrations (such as Facebook Messenger or third-party CRMs) will be 100% uninterrupted, error-free, or unaffected by external API deprecations.
• To the maximum extent permitted by UK law, MADLABZ shall not be liable for any indirect, incidental, special, or consequential damages—including loss of profits, revenue, reputation, or business data—resulting from system downtime or integration failures.

7. Service Termination

Either party may terminate the automation service agreement by providing written notice in accordance with the terms outlined in the specific B2B Service Agreement. Upon termination:

• Access to MADLABZ CRM hosting dashboards and API pipelines will be deactivated.
• All proprietary background automation triggers, missed-call routing setups, and custom SMS flows will cease operation.

8. Governing Law

These Terms & Conditions, and any disputes arising out of or related to our website or B2B automation services, shall be governed by and construed in accordance with the laws of England & Wales. You agree to submit to the exclusive jurisdiction of the English courts.
